Overview

PPD II is the core department of Kingda, which is specificed in non- litigation business that related to financial and securities business foreign-related business, M & A projects, real estate business, marriage and family affairs, wealth inheritance and so on. The Department is composed of a number of professional lawyers and has handled many successful cases across the country. Futhermore, it maintains good and close business contacts with many law firms and other professional institutions at home and abroad.

l Corporate and Investment Related Services

(a) Participate in the process of establishment and change of the enterprise, drafting feasibility study report, articles of association and equivalent legal documents, refining the internal rights and responsibilities of shareholders and division of labor.

(b) Participate in enterprise restructuring, capital increase, share expansion, equity incentive project.

(c) Handle the establishment of real estate project companies and qualification application, construction land examination and approval.

(d) Participate in share transfer, asset reorganization, property rights transaction, merger and acquisition, anti-acquisition and BOT operation.

(e) Assist clients in selecting foreign investment projects and financing projects, participate in project negotiations, and assist in designing investment plans.

l Contract Services

(a) Participate in the negotiations, investigate the subject matter, legal facts and legal documents of the contract, the credit and the ability to perform the contract of the parties, and issue legal opinions.

(b) Draft, review, revise, witness and supervise contract performance, liability and risk prevention.

Draft and witness licensing contracts of all kinds of chain enterprises, set up franchise rules, and provide personnel training and opening assistance.
